Frequently Asked Questions
Do we need an Indian company to start selling in India?
Not necessarily. Many overseas businesses begin by appointing an Indian importer or distributor, which does not by itself require a local entity. An Indian entity becomes relevant when you want direct operations, local hiring, or control over the route to market. The right answer depends on the product, the sector, and how much of the value chain you want to own.
What structure do most foreign companies use when they do incorporate?
A wholly owned private limited subsidiary is the most common vehicle where the sector permits full foreign ownership. Branch offices, liaison offices, and project offices exist as alternatives but require Reserve Bank of India approval and are restricted in what they may do. The structure should be selected to fit the operating plan.
Does foreign investment into India need government approval?
In most sectors, no. Investment is permitted under the automatic route, meaning no prior approval, subject to sectoral conditions. Certain sectors require government approval, and investments from countries sharing a land border with India require approval regardless of sector. This is one of the first questions we resolve in a market entry review.
How long does it take to become operational in India?
Incorporating a private limited company typically takes two to four weeks once documents are in order. Practical readiness, including a bank account, tax registrations, and state-level registrations, usually takes six to ten weeks in total. Sector licences, such as food or telecom approvals, run on their own timelines and should be sequenced early.
What does "state-wise compliance" mean?
Several obligations in India are set at the state level, including shops and establishments registration, professional tax, certain labor registrations, and licensing in sectors such as alcohol. Two states can present materially different compliance costs for the same business. We review the states you intend to operate in before you commit to them.
